Business Separation Agreements

Companies use business separation agreements to spin-off a subsidiary as a separate business, sometime in anticipation of an initial public offering (IPO). The agreement will specify which assets and liabilities will be transferred to the subsidiary, and may be accompanied by other agreements that deal with employee matters, transition services or the licensing of shared intellectual property patents or trademarks.
